Terms of Service — TactixFlow

1. Agreement to Terms

By creating an account or using TactixFlow, you agree to these Terms of Service (“Terms”) between you and Tonalli Labs LLC, a California limited liability company. If you do not agree, do not use the Service.

2. The Service

TactixFlow provides coaching management tools including team roster management, lineup editing, match scheduling, parent communication, and training resources (“Service”). Features vary by subscription plan.

3. Account Registration

You must provide accurate, current information when creating an account. You are responsible for maintaining the security of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access at [email protected].

4. Subscriptions & Billing

Free plan. The Starter tier is available at no charge, subject to usage limits described on the pricing page.

Paid plans. Pro and Club subscriptions are billed monthly or annually as selected at checkout. All payments are processed by Stripe and are subject to Stripe’s Terms of Service.

Cancellation. You may cancel at any time through the billing portal. Your plan remains active until the end of the current billing period; no partial refunds are issued for unused time.

Price changes. We will provide at least 30 days’ notice before increasing subscription prices for existing subscribers.

5. Acceptable Use

You agree not to:

Use the Service for unlawful purposes or to violate any applicable laws.
Upload or transmit content that is defamatory, obscene, or violates third-party rights.
Attempt to access accounts, systems, or data you are not authorized to access.
Reverse-engineer, decompile, or create derivative works of the Service.
Use automated tools to scrape or excessively load our systems.
Share your account credentials with unauthorized third parties.

6. Your Content

You retain ownership of the data you enter into TactixFlow (team names, player information, match schedules, etc.). You grant Tonalli Labs LLC a limited license to store and process that data solely to provide and improve the Service. We do not claim ownership of your content.

7. Intellectual Property

The TactixFlow name, logo, and all software, designs, and content created by Tonalli Labs LLC are the exclusive property of Tonalli Labs LLC and are protected by copyright, trademark, and other laws. Nothing in these Terms grants you a right to use our trademarks or branding.

8. Affiliate Links

Training Studio may contain affiliate links to third-party products. If you purchase through these links, TactixFlow may receive a commission at no additional cost to you. Tonalli Labs LLC is not responsible for the products, pricing, or policies of third-party retailers.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TONALLI LABS LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA OR PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Termination

Either party may terminate at any time. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to access the Service ceases. You may request an export of your data within 30 days of termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the state or federal courts located in California. You waive any objection to jurisdiction or venue in those courts.

13. Changes to These Terms

We may update these Terms. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service constitutes acceptance of the updated Terms.
